1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the website located at stich-tech.com (the “Website”), the software plugins and extensions distributed by us (the “Plugins”), and any professional services we provide (the “Services”), all of which are collectively referred to as the “Offering”.

By accessing the Website, downloading or installing a Plugin, or engaging us for Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access the Website, install the Plugins, or engage us for Services.

These Terms constitute a legally binding agreement between you (whether acting as an individual or on behalf of an entity) and STICH TECH DOO Beograd, operating under the trade name StichTech (“StichTech”, “we”, “us”, or “our”).

3. Description of Services

StichTech provides the following categories of Offerings:

3.1 Software Plugins and Extensions

We develop, distribute, and maintain software plugins (the “Plugins”) for e-commerce platforms including Magento (Magento Open Source and Adobe Commerce) and Shopware 6. Plugins are distributed as ZIP packages, via Composer, or through third-party marketplaces (such as the Adobe Commerce Marketplace or Shopware Store). Plugin functionality and feature scope are described on the relevant Plugin landing pages on the Website.

3.2 Professional Development Services

We offer custom development, integration, white-label engineering support, and consulting services for Magento and Shopware platforms. All professional Services are governed by a separate written engagement agreement (Statement of Work, Master Services Agreement, or equivalent) signed by both parties. These Terms do not constitute or replace such engagement agreements.

3.3 Website Content and Documentation

The Website provides documentation, product information, blog content, and support resources. Content is provided for informational purposes and is subject to change without notice.

4. Use of the Website

You agree to use the Website only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Website in any way that violates applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the Website, our systems, or our networks.
  • Use any automated means (robots, scrapers, etc.) to extract data from the Website without our prior written consent.
  • Introduce viruses, malicious code, or other harmful material to the Website.
  • Reproduce, duplicate, copy, or resell any portion of the Website except as expressly permitted in these Terms.
  • Reverse engineer, decompile, or attempt to derive source code from any Plugin distributed in compiled form, except where such restriction is prohibited by applicable law.

5. Plugin License Terms

5.1 License Grant

Subject to your compliance with these Terms and any applicable payment obligations, StichTech grants you a limited, non-exclusive, non-transferable, revocable license to install, configure, and use each Plugin on the e-commerce platform installation(s) for which it was licensed.

5.2 License Scope

Unless otherwise specified in writing, each Plugin license is granted on a per-installation basis. “Installation” means a single instance of the e-commerce platform (Magento or Shopware) operated by you or an entity you control. A single license does not entitle you to install the Plugin on multiple unrelated installations, resell the Plugin, or distribute the Plugin to third parties.

5.3 Restrictions

You may not: (a) sublicense, sell, rent, lease, or otherwise transfer the Plugin to any third party; (b) remove, alter, or obscure any copyright, trademark, or other proprietary notices contained within the Plugin; (c) use the Plugin to develop a competing product; or (d) circumvent any technical limitations or licensing mechanisms in the Plugin.

5.4 Open Source Components

Plugins may include third-party open source components that are licensed under their own terms. Such components remain subject to their respective licenses, which take precedence over these Terms with respect to those components.

6. Plugin Support and Updates

6.1 Support Scope

During the period for which your license is active, StichTech will provide reasonable email support for Plugin installation and configuration issues at support@stich-tech.com. Support response times are best-effort; we target one business day for most inquiries.

6.2 Updates

StichTech may release Plugin updates from time to time to fix bugs, address security issues, ensure compatibility with new platform versions, or add features. Security and bug-fix updates are provided free of charge to merchants with an active license. Feature updates and major version upgrades may be subject to additional terms communicated in advance.

6.3 Exclusions

Plugin support does not include: (a) installation or configuration of the underlying e-commerce platform; (b) custom development or modifications outside the standard Plugin scope; (c) integration with third-party systems not explicitly supported by the Plugin; or (d) support for unsupported platform versions.

7. Pricing, Payments, and Refunds

7.1 Launch Period

During StichTech’s initial launch period (the “Launch Period”), Plugins and Done-For-You installation services are provided free of charge. The Launch Period will end on a date determined by StichTech, with reasonable advance notice to active merchants.

7.2 Post-Launch Pricing

Following the end of the Launch Period, continued access to certain Plugins, updates, or services may become subject to paid licensing or subscription terms. Pricing, billing cadence, and applicable taxes will be communicated to active merchants before any charges take effect. You are not obligated to accept new paid terms; if you decline, your license terminates per Section 16 (Termination), but Plugins already installed at the time of termination may continue to operate subject to the terms in effect at the time of installation, unless otherwise specified.

7.3 Refunds

For paid Plugins or Services, refund eligibility and procedures will be specified at the time of purchase. For EU consumers, statutory rights under EU consumer protection law (including the right of withdrawal under Directive 2011/83/EU, where applicable) are preserved.

7.4 Taxes

All fees are exclusive of applicable taxes (including VAT) unless explicitly stated otherwise. You are responsible for any taxes arising from your use of the Offering, except for taxes based on StichTech’s net income.

8. Custom Development and Agency Services

Custom development engagements, white-label support arrangements, and other professional Services are governed by a separate written agreement executed between StichTech and the client. The scope, deliverables, timeline, pricing, intellectual property assignment, and other commercial terms of such engagements are defined in that separate agreement and take precedence over any general statements made on the Website or in these Terms with respect to those engagements.

9. Intellectual Property Rights

9.1 StichTech IP

All intellectual property rights in the Website, the Plugins (including all source code, object code, design, documentation, and related materials), and any other StichTech-developed materials are and remain the exclusive property of StichTech and its licensors. These Terms grant you no rights in such intellectual property other than the limited license expressly set forth in Section 5.

9.2 Your Content

Any content you submit to the Website (including form submissions, support inquiries, and product feedback) remains your property. By submitting content, you grant StichTech a non-exclusive, worldwide, royalty-free license to use, modify, and incorporate that content for the purpose of providing the Offering and improving our products and services.

9.3 Feedback

Any suggestions, feature requests, or feedback you provide may be used by StichTech without any obligation to you, including incorporating such feedback into future versions of the Plugins.

9.4 Custom Development Output

Intellectual property ownership of custom development deliverables is governed by the relevant engagement agreement (Section 8), not by these Terms.

10. Privacy and Data Protection

Our processing of personal data is governed by our Privacy Policy, available at https://stich-tech.com/privacy-policy, which forms an integral part of these Terms. For clients subject to the General Data Protection Regulation (Regulation (EU) 2016/679, “GDPR”), a Data Processing Agreement (DPA) is available upon request.

Plugins are designed so that personally identifiable customer information is processed directly between your e-commerce platform and the relevant marketplace API, without being stored on StichTech infrastructure. Specific data flows are documented in the Plugin documentation.

11. Disclaimers and Warranties

THE OFFERING IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. StichTech does not warrant that the Offering will be uninterrupted, error-free, secure, or free from harmful components.

Without limiting the foregoing, StichTech does not warrant that Plugin functionality will continue to operate without modification if the underlying e-commerce platform or third-party marketplace (including Temu) changes its API, policies, or operational requirements.

Some jurisdictions (including certain EU consumer protections) do not allow the exclusion of certain warranties. To the extent such exclusions are not permitted, the limitations in this Section apply to the maximum extent permitted by applicable law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STICHTECH AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION) ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE OFFERING, EVEN IF STICHTECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

STICHTECH’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE OFFERING, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID STICHTECH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).

These limitations do not apply to liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, death, personal injury, or fraud.

13. Indemnification

You agree to indemnify, defend, and hold harmless StichTech and its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your breach of these Terms; (b) your use of the Offering in violation of applicable law; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any dispute between you and any third party arising from your use of the Offering.

14. Termination

14.1 Termination by You

You may terminate your use of the Offering at any time by uninstalling all Plugins and ceasing to access the Website. Termination does not relieve you of any obligations accrued prior to termination, including payment obligations.

14.2 Termination by StichTech

StichTech may suspend or terminate your access to the Offering, with or without notice, if you breach these Terms, if continued provision becomes commercially or technically impractical, or if required by law. We will use reasonable efforts to provide advance notice when terminating without cause.

14.3 Effect of Termination

Upon termination, your license to use the Plugins terminates, except as expressly provided in Section 7.2 with respect to Plugins already installed at the time of termination. Sections that by their nature should survive termination (including Sections 9, 11, 12, 13, 17, 18) shall survive.

15. Changes to These Terms

StichTech may modify these Terms from time to time. We will post the updated Terms on the Website with a revised effective date. For material changes, we will provide reasonable advance notice to active merchants (typically thirty (30) days) via email or in-product notification. Your continued use of the Offering after the effective date of changes constitutes acceptance of the modified Terms.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Serbia, without regard to its conflict of laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

Subject to Section 17 (Dispute Resolution), all disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the competent court in Belgrade, Serbia.

17. Dispute Resolution

17.1 Good-Faith Negotiation

Before initiating any formal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation. A party seeking to initiate dispute resolution must first send written notice to the other party describing the dispute, and the parties shall negotiate in good faith for at least thirty (30) days before initiating proceedings.

17.2 EU Online Dispute Resolution

If you are an EU consumer, you may submit disputes to the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. StichTech is not obligated to participate in alternative dispute resolution proceedings before a consumer arbitration board unless required by applicable law.

18. Severability and Entire Agreement

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to be enforceable while preserving the intent of the parties.

These Terms (together with the Privacy Policy, Cookie Policy, and any applicable engagement agreement) constitute the entire agreement between you and StichTech regarding the Offering, and supersede all prior agreements, communications, and understandings, whether written or oral.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without StichTech’s prior written consent. StichTech may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets.
